1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ThreadPay ("we," "our," or "us") regarding your use of the ThreadPay mobile application and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

ThreadPay is a bill-splitting and expense-tracking application that allows users to:

  • Create and manage shared expense groups
  • Track expenses and splits among group members
  • Calculate balances and optimal settlement paths
  • Record settlements and payment history
  • Organize expenses by categories

ThreadPay is a tracking tool only. We do not process payments, transfer funds, or provide financial services.

3. Eligibility

You must be at least 13 years old to use ThreadPay. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. User Accounts

4.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

4.2 Account Termination

You may delete your account at any time through the app settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we deem harmful to other users or the Service.

5. Acceptable Use

5.1 Permitted Use

You may use ThreadPay for lawful purposes related to tracking and splitting shared expenses among friends, family, roommates, or other groups.

5.2 Prohibited Conduct

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Infringe upon the rights of others
  • Transmit any viruses, malware, or harmful code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scripts) without permission
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Create false or misleading expense records to defraud others

6. User Content

6.1 Your Responsibility

You are solely responsible for the content you create, share, or transmit through the Service, including expense descriptions, amounts, categories, and other data ("User Content").

6.2 License Grant

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely to provide and improve the Service.

6.3 Accuracy

You are responsible for ensuring the accuracy of expense records and settlements. We are not responsible for disputes arising from inaccurate or fraudulent entries.

7. Intellectual Property

The Service, including its design, features, code, and content (excluding User Content), is owned by ThreadPay and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written permission.

8. Third-Party Services

The Service may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of third-party services. Your use of third-party services is at your own risk.

9. Disclaimers

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Not Financial Advice

ThreadPay is a tracking tool only and does not provide financial, legal, or tax advice. We do not guarantee the accuracy of calculations or settlement recommendations.

9.3 No Payment Processing

We do not process, facilitate, or guarantee payments between users. All actual payment transactions occur outside of the Service and are solely between users.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THREADPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless ThreadPay and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your User Content, or your violation of these Terms.

12. Dispute Resolution

12.1 Between Users

ThreadPay is not responsible for disputes between users regarding expenses, splits, or payments. Users are responsible for resolving such disputes among themselves.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where ThreadPay operates, without regard to conflict of law principles.

12.3 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration rather than in court, except where prohibited by law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date and, where appropriate, by sending an in-app notification or email.

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
